Terms and Conditions

1. Introduction

These Terms and Conditions (“T&Cs”) govern your access to and use of the MVP Business Brokers platform, regardless of the domain extension used (“.org” or “.net”) (collectively, the “Platform”). By accessing or using the Platform, you (“User”) agree to be bound by these T&Cs.

1. Definitions

MVP Business Brokers: The organization providing the Platform to facilitate the sale and acquisition of businesses.

User: An individual or entity who registers on the Platform, including Buyers seeking to purchase businesses and Sellers seeking to sell businesses.

Listing: A detailed description of a business for sale submitted by a Seller on the Platform.

Transaction: The sale of a business facilitated through the Platform.

Brokerage Services: Optional fee-based services offered by MVP Business Brokers or its affiliated professionals to assist with transactions.

III. User Agreement

By registering and using the Platform, you agree to:

Be at least 18 years old and have the legal capacity to enter into a binding agreement.

Comply with all applicable laws and regulations.

Use the Platform for lawful purposes only.

Provide accurate and complete information in your User profile and Listings.

Not engage in any conduct that disrupts the Platform or interferes with other Users’ experience.

1. User Conduct

You are prohibited from:

Posting any content that is illegal, defamatory, obscene, hateful, or otherwise objectionable.

Impersonating another User or misrepresenting your affiliation with any entity.

Engaging in any fraudulent or misleading activity.

Attempting to gain unauthorized access to the Platform or User accounts.

Using the Platform to solicit business for any services other than those related to the purchase or sale of businesses.

1. Listings

Seller Responsibility: Sellers are solely responsible for the content of their Listings, including the accuracy of the information about the business for sale.

Verification Process: MVP Business Brokers may implement a verification process for Listings to ensure the legitimacy of business offerings.

Confidentiality: Sellers acknowledge that some information included in a Listing might be considered confidential. MVP Business Brokers will take reasonable steps to protect such confidentiality.

1. Transactions

Facilitation Platform: MVP Business Brokers acts as a facilitation platform to connect Sellers and Buyers. The platform itself is not a party to any Transactions.

Transaction Terms: The final terms of a Transaction, including price and closing details, are negotiated directly between the Seller and Buyer.

Brokerage Services: MVP Business Brokers may offer optional Brokerage Services for a fee. A separate agreement outlining the specific services and associated costs will be provided to Users who choose this option. These services may be provided by MVP Business Brokers or its affiliated professionals.

VII. User Fees

Basic Services: MVP Business Brokers offers basic services, such as listing a business or searching for listings, free of charge.

Premium Services: MVP Business Brokers may offer premium services, such as enhanced Listing features or access to exclusive buyer networks, for a fee. The specific fees for such services will be clearly communicated before purchase.

Brokerage Fees: If the User chooses to utilize MVP Business Brokers’ optional Brokerage Services, a separate fee agreement outlining the services and associated costs will be provided.

VIII. Disclaimers and Limitations of Liability

MVP Business Brokers disclaims any warranties, express or implied, regarding the Platform or any information provided by Users.

MVP Business Brokers is not liable for any damages arising from User interactions or Transactions conducted on the Platform.

Users engaging with Brokerage Services acknowledge that these services are provided by independent professionals and that MVP Business Brokers cannot guarantee the outcome or success of any business sale.

1. Intellectual Property

MVP Business Brokers retains all ownership rights to the Platform and its intellectual property.

Users are granted a limited, non-exclusive license to access and use the Platform in accordance with these T&Cs.

1. Term and Termination

These T&Cs will remain in effect until terminated by either party.

MVP Business Brokers may suspend or terminate a User’s account for any violation of these T&Cs.
